Terms of Service

Please read these terms carefully before using our Service.

Summary: GDI Rent Management is a subscription-based property management platform. You retain ownership of your data. We provide the Service "as is" with commercially reasonable uptime. You agree to use the Service lawfully and in compliance with applicable regulations including FCRA for tenant screening.

1. Acceptance of Terms

By accessing or using the GDI Rent Management platform ("Service") operated by GDI Digital Solutions ("Company," "we," "our," or "us"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users of the Service, including administrators, managers, viewers, and any person who accesses the Service through a company account.

2. Description of Service

GDI Rent Management is a web-based property management platform that provides:

  • Tenant and property management
  • Invoice generation and payment tracking
  • Financial reporting and analytics
  • Document storage and management
  • Tenant screening (Enterprise plan, via third-party integration)
  • Multi-user access with role-based permissions

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use the Service. By registering, you represent that all information you provide is accurate and complete.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials and company code
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

We are not liable for any loss resulting from unauthorized access to your account due to your failure to safeguard your credentials.

3.3 Company Accounts

Each company account is identified by a unique company code. The company administrator is responsible for managing users within their organization and ensuring all users comply with these Terms.

4. Subscription Plans and Payment

4.1 Free Trial

New accounts receive a 14-day free trial with access to Starter plan features. No credit card is required to start a trial. At the end of the trial period, access to the Service will be restricted until a paid subscription is activated.

4.2 Paid Plans

We offer three subscription tiers: Starter ($59/month), Professional ($99/month), and Enterprise ($179/month). Plan features and limits are described on our pricing page and may be updated from time to time.

4.3 Billing

  • Subscriptions are billed monthly in advance via Stripe
  • Payments are automatically charged to your payment method on file
  • All fees are in U.S. dollars and are non-refundable except as required by law
  • You are responsible for any applicable taxes

4.4 Cancellation

You may cancel your subscription at any time through the billing portal. Upon cancellation:

  • Your subscription remains active until the end of the current billing period
  • No further charges will be made after cancellation
  • You may continue to access the Service until the billing period ends
  • After the billing period ends, your account will be restricted but your data will be retained for 90 days

4.5 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of the next billing period. If a downgrade results in exceeding plan limits (e.g., unit count), you will be notified and given time to adjust.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You shall not:

  • Use the Service to violate any applicable law or regulation
  • Upload or store content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Attempt to gain unauthorized access to other accounts, computer systems, or networks
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service without our written permission
  • Share your login credentials or company code with unauthorized individuals
  • Use tenant screening data for any purpose other than evaluating rental applications

6. Data Ownership and Licensing

6.1 Your Data

You retain full ownership of all data you enter into the Service, including tenant information, financial records, documents, and reports. We do not claim any ownership rights to your data.

6.2 License to Us

You grant us a limited, non-exclusive license to use, store, and process your data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.

6.3 Our Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned by GDI Digital Solutions and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.

7. Tenant Screening (Enterprise Plan)

Important: Tenant screening involves consumer reports regulated by the Fair Credit Reporting Act (FCRA). Misuse of screening data may result in civil and criminal penalties.

By using the tenant screening feature, you agree to:

  • Use consumer reports only for permissible purposes under the FCRA (15 U.S.C. § 1681b)
  • Provide required disclosures and obtain written authorization from applicants before requesting a screening
  • Provide adverse action notices to applicants if you deny them based, in whole or in part, on information in a consumer report
  • Comply with all applicable federal, state, and local fair housing and consumer protection laws
  • Securely dispose of screening data when it is no longer needed
  • Not share screening results with unauthorized third parties

Tenant screening is provided through TransUnion SmartMove. Use of screening services is also subject to SmartMove's terms and conditions.

8. Document Storage

Documents uploaded to the Service are stored on Amazon Web Services (AWS) S3 with encryption. You are responsible for ensuring that any documents you upload comply with applicable laws and do not infringe on third-party rights. We reserve the right to remove content that violates these Terms.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will attempt to provide advance notice)
  • Unscheduled outages due to technical issues, security incidents, or force majeure
  • Third-party service interruptions (AWS, Stripe, SmartMove)

We are not liable for any damages resulting from Service downtime or interruptions.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law:

  • GDI Digital Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for the accuracy, completeness, or reliability of tenant screening results provided by third parties
  • We are not liable for any decisions you make based on data in the Service

11. Indemnification

You agree to indemnify, defend, and hold harmless GDI Digital Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your misuse of tenant screening data
  • Any content or data you upload to the Service

12. Termination

12.1 By You

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

12.2 By Us

We may suspend or terminate your access to the Service if:

  • You violate these Terms
  • Your payment is past due for more than 30 days
  • We reasonably believe your account is being used fraudulently
  • Required by law or legal process

Upon termination, your right to use the Service ceases immediately. We will retain your data for 90 days to allow for data export, after which it may be permanently deleted.

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

  • Informal resolution: Contact us first at info@gdidigitalsolutions.com. We will attempt to resolve disputes within 30 days.
  • Binding arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the American Arbitration Association rules.
  • Class action waiver: You agree to resolve disputes individually and waive the right to participate in class action lawsuits or class-wide arbitration.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State in which GDI Digital Solutions is incorporated, without regard to conflict of law principles.

15. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or notice within the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and GDI Digital Solutions regarding the Service.
